These Terms of Service (the “Terms”) form a binding legal agreement between you (“you”, “User”, “Bidder”) and THALETRA GENERAL TRADING CO. LIMITED (“THALETRA”, “we”, “us”, “our”). By accessing this website, subscribing to our newsletter, contacting us through any form, or registering for any auction, you confirm that you have read, understood, and accepted these Terms in full. If you do not agree, you must not use this site or any of our services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under the laws applicable to you. By using this site you represent and warrant that you meet these requirements and that any information you provide is accurate, current, and complete.

2. Scope of services

This website is an informational and listing platform for industrial auctions organised by THALETRA. We do not operate a live online bidding engine through this site. Each auction is governed by a specific set of auction terms, catalogue conditions, and any on-site rules published or communicated for that event, which prevail over these general Terms in case of conflict for that auction.

3. Auction participation

All bidders must register, provide valid government-issued identification, and where requested, demonstrate proof of funds. We reserve the right, in our sole discretion and without giving reasons, to: (a) refuse registration; (b) refuse, withdraw, or invalidate any bid; (c) require a deposit prior to bidding; (d) re-open bidding in case of dispute; or (e) cancel, postpone, or modify any auction.

4. “As is, where is” sale

All lots are sold strictly on an “AS IS, WHERE IS” basis, with all faults and defects whether apparent or hidden. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of description, condition, year of manufacture, mileage, operating hours, weight, completeness, or compliance with any regulation. Bidders are solely responsible for inspecting lots, verifying specifications, and conducting any due diligence before bidding.

5. Catalogues and descriptions

Photographs, written descriptions, estimates, dimensions, and any other information published on this site or in any catalogue are provided for guidance only and do not constitute a representation, warranty, or assumption of liability. We make no commitment regarding the accuracy or completeness of any information.

6. Payment, taxes and removal

Successful bidders must complete payment, including any buyer’s premium, applicable taxes, duties, transport, dismantling, and removal costs, within the timeframes published in the relevant auction’s terms. Risk in any lot passes to the buyer upon the fall of the hammer (or its electronic equivalent); title passes only upon receipt of cleared funds in full. Lots not removed within the stated period may be re-sold, destroyed, or placed in storage at the buyer’s sole risk and expense.

7. Default

If a buyer fails to pay or remove a lot, we may, without prejudice to any other right or remedy: cancel the sale, re-sell the lot publicly or privately, retain any deposit, recover any shortfall and all associated costs (including legal fees) from the defaulting buyer, and bar the buyer from future auctions.

8. Acceptable use of the website

You agree not to: (a) use the site for any unlawful, fraudulent, or harmful purpose; (b) attempt to gain unauthorised access to any part of the site, the database, or any server; (c) probe, scan, or test the vulnerability of any system; (d) interfere with or disrupt the integrity or performance of the site; (e) use automated means (scrapers, bots) to harvest data; (f) submit content that is unlawful, defamatory, obscene, or infringes the rights of any third party; or (g) impersonate any person or entity.

9. User submissions

When you submit information through this site (for example, newsletter sign-ups or contact forms), you grant us a non-exclusive, royalty-free licence to use that information to provide the services you requested and to operate our business. You are responsible for ensuring that your submissions are lawful and accurate.

10. Intellectual property

All content on this website, including logos, text, images, layout, code, and trademarks, is owned by or licensed to THALETRA and is protected by intellectual property laws. You may not copy, reproduce, distribute, publish, modify, or create derivative works without our prior written consent, except for personal, non-commercial browsing.

11. Third-party links and content

The site may contain links to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of such third-party services is at your own risk.

12. Disclaimer of warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, UPTIME, ACCURACY, AND SECURITY. We do not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THALETRA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY SERVICES, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU ACTUALLY PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) USD 100.

14. Security incidents

We implement commercially reasonable technical and organisational measures designed to protect the information you submit through this site. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security. In the event of a security incident, data breach, unauthorised access, hack, or other compromise affecting your data, you acknowledge that we shall not be held liable for any resulting loss or damage, except to the extent that liability cannot be excluded under applicable law. We will take reasonable steps to investigate and, where required, notify affected users in accordance with applicable law.

15. Indemnity

You agree to defend, indemnify, and hold harmless THALETRA and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the site; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit.

16. Modifications

We may revise these Terms at any time by posting an updated version on this page. The “Effective date” above indicates when the current version took effect. Your continued use of the site after the effective date constitutes acceptance of the revised Terms.

17. Severability and waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right shall not be deemed a waiver of that right.

18. Governing law and disputes

These Terms shall be governed by the laws of the jurisdiction in which THALETRAis registered, without regard to conflict-of-laws rules. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.
